Terms of Service

1.Agreement
These Terms of Service ("Terms") govern access to and use of the Guardian Alert platform (the "Service") provided by GuardianCAD Systems LLC ("GuardianCAD"). By accessing the Service, the subscriber agency and each authorized user agree to be bound by these Terms and any supplemental order form or master services agreement executed between the agency and GuardianCAD.
2.Service Description
Guardian Alert provides multi-channel incident alerting (Email, SMS, MMS, and web push), CAD ingestion and routing, responder accountability tracking, and an operational console for dispatchers, supervisors, and administrators of subscriber public-safety agencies.
3.Eligibility & Authorized Use
The Service is intended exclusively for use by sworn personnel, authorized civilian staff, and contractors of subscriber agencies. Accounts must be provisioned by an agency administrator. Sharing credentials, allowing unauthorized third-party access, or using the Service for personal communication is prohibited.
4.Acceptable Use
- Do not transmit test alerts to live responder pools without explicit supervisor approval.
- Do not impersonate another responder, agency, or dispatcher.
- Do not transmit unlawful, harassing, or sexually explicit content through the Service.
- Do not attempt to interfere with, reverse engineer, or circumvent the security or rate-limiting controls of the Service.
5.SMS Program Terms
By providing a mobile number to a subscriber agency, the recipient consents to receive operational SMS and MMS messages from Guardian Alert on behalf of that agency. Message frequency depends on incident volume. Standard message-and-data rates may apply. Reply STOP to opt out of non-critical messaging or HELP for assistance. Carriers are not liable for delayed or undelivered messages.
6.Subscription & Fees
Fees, term length, included channels, and message volumes are specified in the subscriber agency's order form or master services agreement. Fees are non-refundable except as expressly required by that agreement.
7.Service Availability
GuardianCAD will use commercially reasonable efforts to provide continuous availability of the Service. All features listed may not be available due to dispatch center capabilities. Cost of terminals does not include equipment needed to access the service. Carrier outages, public network disruptions, and force majeure events are outside GuardianCAD's control.
8.Limitation of Liability
To the maximum extent permitted by law, GuardianCAD's aggregate liability arising out of or relating to the Service is limited to the total fees paid by the subscriber agency under the applicable order form during the twelve (12) months preceding the event giving rise to the claim. GuardianCAD is not liable for indirect, incidental, special, consequential, or punitive damages, including lost response time, lost revenue, or harm arising from carrier or third-party network failures.
9.Indemnification
The subscriber agency agrees to indemnify and hold harmless GuardianCAD from claims arising out of (a) use of the Service by the agency's personnel, (b) data the agency submits to the Service, or (c) the agency's violation of these Terms or applicable law.
10.Termination
GuardianCAD may suspend or terminate access to the Service for material breach of these Terms, non-payment, or activity that endangers the integrity of the platform. Upon termination, the agency may request export of its data subject to records retention obligations.
11.Governing Law
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws principles. Venue for any dispute shall lie in the state or federal courts located in Fayette County, Kentucky.
